Assistant Company Secretary – Midrand area

Corporate Support and Administration (CSA)

A position for an Assistant Company Secretary role exists at the Group Corporate Governance Department, reporting to the Group Company Secretary. The overall purpose of this position is to support and assist in general administrative duties, including but not limited to: attending to and compilation of meeting minutes, assist with Board resolutions, maintenance of accurate and timeous administration of company records, statutory registers and lodgment of annual returns with CIPC and general data input and co-ordination of software solution.

Key areas of responsibility: (Not totally inclusive)

Good understanding of the functioning and share scheme employee eligibility for the designated share scheme.
Compilation and ongoing update of the employees share options offered annually, as per schedule requirements and scheme rules.
Update the Greatsoft software package with the allotment/transfer of shares and print and scan share certificates.
Provide a detailed breakdown to each of the option holders of their share options payable.
Set meetings dates annually, send reminders and re-schedule meetings.
Yearly update declarations of interests for each director and compare to CIPC website.
Ensure Terms of References, Polices, Charters, annual work plans are updated yearly.
Yearly evaluation of the Boards and Committees.
Preparation of Board, Shareholders’ and tender resolutions.
Place resolutions on Signiflow for electronic signatures and follow up with directors.
Provide ongoing FICA documents to the banks and explain the Group structure.
Good understanding of PSIRA compliance in terms of Director’s registration and compliance.
Update PSIRA records with name changes and appointment/resignation of directors.
Renew company PSIRA certificates yearly.
Maintenance of accurate and timeous administration of company records, statutory registers and lodgment of annual returns with CIPC.
Reserve and change company names.
Appoint/resign directors.
Update Greatsoft secretarial package with any CIPC / shareholding changes.
Update company letterheads.
General office administrative support and ability to work on all MS Office packages, including but not limited to: MS Word, Excel, Power Point, Outlook and remote meeting facilitation via Teams.
Qualifications, experience and other competencies required:

Matric certificate
Chartered Secretaries CIS qualification / B Com or equivalent
3-5 years’ experience within a corporate environment within a similar role
In-depth knowledge of the Companies Act 71 of 2008 and King III and IV
Valid and unendorsed motor vehicle driver’s license
Above average computer literacy in MS Office suite
Own vehicle and ability to travel, as and when required
Administration, interpersonal communication and customer liaison skills are required.
Clear criminal record
